1. About Us

This website is operated by Ellex Capital Inc., a corporation incorporated under the laws of Ontario, Canada, doing business as KwantOne. References to "we," "us," "our," or "KwantOne" mean Ellex Capital Inc. and its owners, directors, officers, employees, contractors, and affiliates. Our products and services are delivered through our website at trademomo.com and third-party platforms including Whop.com.

2. Eligibility & Acceptance

By using this site or purchasing any product, you represent and warrant that:

• You have reached the age of majority in your jurisdiction of residence;
• You have the legal capacity to enter into a binding contract;
• You are financially capable of absorbing the full loss of any funds you use in trading;
• You understand that trading futures and other leveraged instruments carries substantial risk of loss;
• You are not using our services on behalf of a competitor or for the purpose of reverse engineering our products;
• You are not experiencing a gambling addiction, compulsive trading disorder, or any financial or mental health condition that would make participation in leveraged markets inappropriate for you.

KwantOne reserves the absolute and unconditional right to refuse service, cancel subscriptions, or terminate access to any individual or entity at any time, for any reason or no reason, at our sole discretion. No explanation is required and no refund will be issued in such circumstances beyond what is expressly provided in our Refund Policy.

3. Educational Purpose Only — Not Financial Advice

ALL content, tools, indicators, strategies, coaching sessions, community communications, email communications, and any other materials provided by KwantOne are strictly for educational and informational purposes only. Nothing provided by KwantOne constitutes financial advice, investment advice, trading recommendations, or a solicitation to buy or sell any financial instrument.

You are solely responsible for all of your trading decisions. KwantOne does not manage accounts, does not provide personalized financial advice, and is not registered as an investment adviser with any regulatory body. Past performance demonstrated in any KwantOne content is not indicative of future results.

4. Software License & Restrictions

4.1 License Grant

Upon payment of applicable fees, KwantOne grants you a limited, non-exclusive, non-transferable, revocable license to use KwantOne's NinjaTrader indicators and software solely for your own personal, non-commercial trading purposes on a single licensed NinjaTrader installation identified by your machine ID. The license term is: 90 days for the 90-Day Transformation program, and 2 years for Annual Elite members from the date of annual membership commencement.

4.2 Restrictions — YOU MAY NOT:

• Copy, reproduce, distribute, sell, resell, sublicense, or share KwantOne software with any third party;
• Reverse engineer, decompile, disassemble, or attempt to extract source code from any KwantOne software;
• Modify, adapt, translate, or create derivative works based on KwantOne software;
• Use KwantOne software to develop competing products or services;
• Share your login credentials, machine ID license, or access with any other person;
• Use KwantOne software for commercial purposes without written permission;
• Allow competitors or their agents to access or use our software.

Violation of any restriction will result in immediate termination of your license without refund and may subject you to legal action.

5. Software Provided "AS IS" — Technology Risk

ALL KWANTONE SOFTWARE, TOOLS, AND INDICATORS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. You expressly acknowledge and agree that KwantOne is not responsible for losses caused by: data feed corruption or delay, NinjaTrader platform issues, internet connectivity failures, software bugs or errors, broker or exchange failures, or any other technology-related issue outside our direct control. You assume all technology-related risks in their entirety.

6. Refund Policy

The 90-Day KwantOne Transformation program includes a 30-day money back guarantee subject to the following conditions:

• The refund request must be submitted within 30 days of enrollment;
• The member must have logged a minimum of 10 trading sessions in the KwantOne web app during the 30-day period;
• If both conditions are met, a full refund will be issued with no questions asked;
• If the session minimum has not been met, no refund will be issued.

The Annual Elite Membership is non-refundable. Annual memberships are available exclusively to Certified KwantOne Traders who have completed the 90-Day Transformation who have already had an opportunity to evaluate the coaching system during the 90-day program.

All other sales are final. KwantOne does not offer refunds for change of mind, trading losses, software performance, or any other reason not expressly covered above.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KWANTONE, ELLEX CAPITAL INC., OR ANY OF THEIR OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, LOSS OF DATA, OR ANY OTHER INTANGIBLE LOSSES.

KwantOne's total cumulative liability to you shall not exceed the total amount you paid to KwantOne in the thirty (30) days immediately preceding the event giving rise to the claim.

8. Chargeback & Dispute Waiver

BY COMPLETING PURCHASE, YOU EXPRESSLY WAIVE YOUR RIGHT TO INITIATE A CHARGEBACK, PAYMENT DISPUTE, OR REVERSAL WITH YOUR CREDIT CARD ISSUER, BANK, OR PAYMENT PROCESSOR FOR ANY CHARGE MADE BY KWANTONE OR WHOP.COM ON OUR BEHALF, EXCEPT WHERE A LEGITIMATE BILLING ERROR HAS OCCURRED. Any customer who initiates a chargeback or payment dispute in bad faith will have their access immediately and permanently terminated.

9. Arbitration & Waiver of Class Action

Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding individual arbitration conducted in Ontario, Canada. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against KwantOne.

10. Reputation & Non-Disparagement

By using this site or purchasing any product, you agree not to post, publish, or distribute false, misleading, defamatory, or disparaging statements about KwantOne, Ellex Capital Inc., their owners, employees, or affiliates on any public or semi-public channel. KwantOne actively monitors public channels and will pursue all available legal remedies against any individual who violates this provision. This provision does not prohibit truthful, good-faith reviews based on genuine experience, nor does it limit rights under applicable consumer protection law.

11. Intellectual Property

All KwantOne software, code, indicators, strategies, methodologies, content, branding, and proprietary systems are the exclusive intellectual property of Ellex Capital Inc. and are protected by applicable copyright, trade secret, and intellectual property laws. You may not use any KwantOne product or methodology to develop competing products or services.

12. Indemnification

You agree to indemnify, defend, and hold harmless KwantOne, Ellex Capital Inc., and their owners, directors, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of our services, your trading activity, your violation of these Terms, or any claim by a third party arising from your conduct.

13. Governing Law

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Subject to the arbitration provision, you consent to the exclusive jurisdiction of the courts of Ontario.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted with an updated "Last Updated" date. Continued use after modification constitutes acceptance.

15. Data Accuracy, Research & Content Disclaimer

All research, statistics, quantitative figures, backtested results, expected value calculations, win rates, probability estimates, historical data analyses, Monte Carlo simulations, and any other data or content provided by KwantOne (collectively, the "Research Data") is provided in good faith and on a best-efforts basis. You expressly acknowledge and agree to the following:

No Warranty of Accuracy. KwantOne makes no representation, warranty, or guarantee — express or implied — that the Research Data is accurate, complete, reliable, current, error-free, or fit for any particular purpose. All Research Data has been gathered, computed, and analyzed internally by Ellex Capital Inc. and has not been independently verified, audited, or validated by any third party, regulatory body, financial institution, or independent research organization.

Errors & Omissions. Despite reasonable efforts to ensure accuracy, Research Data may contain errors, omissions, inaccuracies, or outdated information. Market conditions, data feed quality, computational methodology, and the inherent limitations of historical backtesting may all affect the accuracy of Research Data. KwantOne reserves the right to correct, update, or remove any Research Data at any time without notice and without liability.

Historical Data Limitations. All backtested and historical Research Data reflects past market conditions only. Historical results are not necessarily indicative of future performance. Backtested results are inherently limited by the fact that they are computed with the benefit of hindsight and do not account for real-world trading conditions including but not limited to: slippage, commissions, liquidity constraints, execution delays, platform failures, and psychological factors affecting live trading.

No Professional Verification. The Research Data has not been reviewed, endorsed, approved, or verified by any certified financial analyst (CFA), certified public accountant (CPA), registered investment adviser (RIA), commodity trading adviser (CTA), or any other licensed financial or accounting professional. You should not rely on the Research Data as a substitute for professional financial advice.

Best Efforts Standard. KwantOne's obligation with respect to Research Data is limited to providing it on a commercially reasonable, best-efforts basis. KwantOne shall have no liability whatsoever for any loss, damage, or harm — direct or indirect — arising from your reliance on Research Data that proves to be inaccurate, incomplete, or misleading, whether or not KwantOne was aware of the inaccuracy.

Your Responsibility. You are solely responsible for independently verifying any Research Data before relying on it for any trading, investment, or financial decision. The use of Research Data does not relieve you of your obligation to conduct your own due diligence.
